Job Responsibilities:
- Establishes a general framework and annual plan for corporate governance and compliance standards and submitting periodic reports on the level of compliance, maturity indicators, and controls effectiveness.
- Reviews and updated the policies, processes and procedures (PPP), compliance registers to ensure the implementation of CMA corporate governance requirements and other regulatory standards.
- Monitors and follows-up on the implementation of all periodic statutory requirements such as the periodic financial reports, BoD report of the Capital Market Authority and others.
- Organizes and manages disclosures by preparing the company's announcements and disclosures and ensuring that they meet the requirements before publishing them on the Tadawul website.
- Manages and updates a database of regulations and instructions related to the company's business.
- Reviews all legislation, regulations, and bylaws in the compliance register.
- Develop processes and initiatives to ensure a strong governance culture within the company.
- Ensure governance principles continue to evolve in light of changing circumstances and are re-evaluated from time to time.
- Support in the review of the Board level committee structure and mandate and provide recommendations to improve its effectiveness.
- Engage with different internal stakeholders e.g. Board members, management members and strategy groups to ensure that the Compliance & Governance mechanism reflects organizational and strategic priorities and changes.
- Oversee all business operations relating to compliance including policies, investments, and procedures.
- Perform periodic audits on company PPP as per an annual plan.
- Design and monitor control systems to deal with violations of legal rules and internal policies.
- Coordinate with regulatory authorities regarding compliance matters and regulatory inquiries.
- Monitor changes in applicable laws and regulations and ensure their implementation across the company.
- Regularly assess the efficiency of control systems and recommend effective improvements.
- Lead employee training sessions on governance and compliance issues.
- Supervise compliance officers and team.
Education & Certifications:
- Bachelor’s degree in Law.
- IFSAH Certificate.
- General Securities Qualification Certificate (CME-1) is a plus
Experience:
- 3+ years of Experience in Governance and Compliance in public listed companies.
Qualifications:
- Communication skills.
- Good report writing and presentation skills.
- Excellent English.
- Experience in Microsoft Office tools.
