Job Summary
The Head of Internal Audit is responsible for establishing, leading, and maintaining an independent and objective internal audit function that supports the organization’s corporate governance framework, risk management effectiveness, regulatory compliance, and operational integrity.
In a diversified conglomerate with multiple business entities, the role provides assurance to the Board of Directors and Executive Management on internal controls, financial governance, operational efficiency, compliance, and risk mitigation.
The role is responsible for developing risk-based audit plans, conducting operational and financial audits, evaluating governance practices, and identifying opportunities to strengthen controls, optimize processes, and protect organizational assets. The Head of Internal Audit plays a key role in supporting the organization’s transition toward structured corporate governance and institutional accountability.
1. Key Responsibilities
Corporate Governance & Internal Control Framework
· Establish and maintain a comprehensive internal audit framework aligned with corporate governance standards and organizational objectives.
· Evaluate the adequacy and effectiveness of internal control systems across all business units and functions.
· Assess governance structures, delegation of authority frameworks, approval matrices, and policy compliance.
· Support the Audit Committee and Executive Management in strengthening accountability, transparency, and governance maturity.
· Recommend control enhancements and governance improvements to mitigate operational and financial risks.
Risk-Based Audit Planning
· Develop and implement an annual risk-based internal audit plan covering financial, operational, compliance, and strategic risks.
· Conduct enterprise-wide risk assessments to identify key risk exposures and audit priorities.
· Ensure audit coverage includes all subsidiaries, operational entities, and support functions.
· Periodically reassess audit priorities based on changes in business activities, market conditions, and organizational risks.
Financial & Operational Audits
· Lead financial and operational audits to assess the reliability of financial information and operational effectiveness.
· Review accounting processes, treasury controls, procurement practices, inventory management, and commercial transactions.
· Assess efficiency, productivity, and compliance across operational departments.
· Evaluate adherence to internal policies, financial procedures, and regulatory requirements.
· Verify safeguarding of company assets and prevention of fraud, waste, or misuse.
Compliance & Regulatory Assurance
· Ensure compliance with applicable laws, regulations, corporate policies, and governance standards.
· Monitor adherence to taxation, labor, licensing, and financial reporting obligations.
· Evaluate compliance with contractual obligations, supplier agreements, and commercial frameworks.
· Coordinate with external regulators and auditors when required.
Fraud Risk Management & Investigations
· Develop fraud risk assessment methodologies and fraud prevention controls.
· Conduct investigations into suspected fraud, misconduct, policy violations, or financial irregularities.
· Recommend corrective and disciplinary actions where required.
· Promote ethical business conduct and whistleblowing mechanisms.
Audit Reporting & Corrective Actions
· Prepare clear and structured audit reports highlighting findings, root causes, risk exposures, and recommendations.
· Present audit findings to Executive Management and Audit Committee.
· Track implementation of corrective action plans and ensure timely closure of audit observations.
· Escalate unresolved high-risk issues to the Audit Committee and Board.
Process Improvement & Operational Excellence
· Identify opportunities to improve operational efficiency, cost control, and process effectiveness.
· Recommend automation, segregation of duties improvements, and workflow optimization.
· Support management in strengthening business continuity and risk mitigation practices.
Coordination with External Audit
· Coordinate with external auditors to ensure alignment and avoid duplication of audit efforts.
· Support external audit processes through provision of audit documentation and internal control insights.
· Facilitate efficient audit execution and follow-up on external audit recommendations.
Leadership & Department Development
· Establish and develop the Internal Audit function structure, methodologies, and reporting frameworks.
· Build and mentor a professional internal audit team with strong analytical and governance capabilities.
· Ensure adoption of international internal audit standards and best practices.
· Promote a culture of integrity, accountability, and compliance across the organization.

4. Qualifications
Education
Bachelor’s degree in Accounting, Finance, Auditing, Business Administration, or related field.
Master’s degree or MBA preferred.
Certification
Professional certifications strongly preferred, including:
· CIA (Certified Internal Auditor)
· CPA (Certified Public Accountant)
· CMA (Certified Management Accountant)
Experience
15-20 years of progressive experience in internal audit, external audit, risk management, or governance roles.
Experience within diversified groups, conglomerates, manufacturing, distribution, or multi-entity organizations is highly preferred.
Experience in establishing or transforming internal audit functions and governance frameworks is considered a strong advantage.
