We are seeking a dedicated and detail-oriented Legal Advisor / Legal Associate to join our team in Dubai, UAE.

The ideal candidate will have relevant experience in UAE business incorporation processes, including DIFC, Mainland, Free Zones, offshore jurisdictions, ADGM, and related corporate structuring matters. The role also involves drafting corporate and commercial agreements, advising clients, preparing legal opinions, and supporting legal matters in accordance with UAE laws and applicable regulations.

Candidates with exposure to common law and/or civil law systems, along with 2–3 years of relevant legal experience, are encouraged to apply.

The selected candidate will work closely with the company’s partner and will be involved in client advisory, legal drafting, government authority coordination, corporate matters, and dispute resolution support.

Key Responsibilities

* Advise clients on business setup procedures, legal requirements, regulatory compliance, and corporate structuring options in the UAE.

* Conduct client consultations to understand business objectives, requirements, and constraints, and assist in developing suitable legal solutions.

* Prepare client proposals and manage timely follow-ups.

* Draft and review corporate and commercial documents, including legal opinions, shareholders’ agreements, distribution agreements, franchise agreements, fintech agreements, data sharing and licensing agreements, software agreements, and IT service agreements.

* Support due diligence processes with the team for mergers and acquisitions matters.

* Attend arbitration and mediation proceedings with the company’s partner, as required.

* Assist with drafting wills and preparing legal opinions related to probate, succession, inheritance, foundations, trusts, family offices, offshore companies, and holding companies.

* Independently draft MOA/AOA documents for new companies and prepare/file legal documents related to company incorporation with relevant local authorities and government departments.

* Coordinate with UAE government authorities and departments as required for legal and corporate matters.

* Maintain accurate and up-to-date records of legal matters, client documentation, and internal files.

Skills, Knowledge and Experience

* Bachelor’s degree in Law or a related field.

* 2–3 years of relevant legal experience.

* Experience in UAE business incorporation, corporate advisory, and commercial legal drafting is preferred.

* Exposure to common law and/or civil law systems is preferred.

* Active or previous Bar Council registration is required.

* Strong written and spoken English communication skills.

* Additional language proficiency is an advantage.

* Excellent communication, interpersonal, and client-management skills.

* Ability to work independently, manage multiple tasks, and meet deadlines.

* Proficiency in MS Office and legal research databases.
